This Agreement (“Agreement”) represents the entire agreement between you and HH JapaNees (“HH JapaNees”) with respect to the above-referenced site (the “Site”) and, if applicable, the paid subscription services therein. By accessing, becoming a customer of, or purchasing or subscribing to a gift subscription to HH JapaNeeds, you unconditionally agree to be bound by the terms of use set forth below (the “Terms”).

1. Acceptance of the Terms

By using the information, tools, features and functionality found on HH JapaNeeds.com (the “Service”), you agree to be bound by this Agreement and the Terms, whether you are a “visitor” (meaning you are simply browsing the HH JapaNeeds website) or a “customer” (meaning you have registered with HH JapaNeeds). “You” or “User” refers to a visitor or customer. The term “us” or “we” refers to HH JapaNeeds. Materials” refers to all class materials used in our classes. If you wish to become a customer, communicate with other customers, and use the Service, you must read and agree to these Terms and Conditions during the registration process.If you do not agree with all the Terms, do not use the Site.

By using the Site, you agree to be bound by the Terms and confirm that you are over the age of 13 and able to form legally binding contracts.

Before you continue, you should print or save a local copy of this Agreement for your records.

2. Changes to these Terms

HH JapaNeeds reserves the right to change this Agreement and any policies affecting or relating to the Site at any time. Your continued use of the Site following notice of any changes to the Agreement constitutes your agreement to the revised Terms of Use. If you are dissatisfied with the modified terms of use, you may cancel your subscription by following the instructions provided above. In addition, HH JapaNeeds reserves the right to modify, suspend or discontinue this site at any time.

3. Provision of the Services

In providing the Services, we do not actively monitor, and have no obligation to monitor, the display, transmission and exchange of materials accessible through the Services, except as we may otherwise provide or as required by the laws of any applicable jurisdiction. However, subject to the terms of our Privacy Policy and Security Policy, we reserve the right to monitor the Services for the purpose of determining whether your use of the Services is in compliance with these Terms and applicable law. In addition, as described elsewhere in these Terms, we will have the absolute and unconditional right to review and remove any material accessible by or transmitted through the Services if we determine that such material violates the laws of these Terms or is otherwise unacceptable to us in our sole discretion. We retain the absolute and unconditional right to remove any Material accessible by or transmitted through the Services if we determine in our sole discretion that such action is unacceptable.

We may, from time to time, make changes, enhancements and improvements to the Site and the Services without prior notice to you. We may also, at any time, discontinue the continued operation of any or all of the Services, or selectively disable any portion of the Services or the Site. Any modification or discontinuance of the Service is made at the sole and absolute discretion of the Company without any continuing obligation or liability to you, and your use of the Site and the Service does not constitute a license to continue to provide or use the Site and the Service to you. Your use of the Site and the Services does not authorize you to continue to provide or use the Site and the Services.

4. Your Rights

HH JapaNeeds provides you with a non-transferable, non-exclusive, limited right to access, use, and display the content of this site, provided that you comply with this Agreement and the terms and conditions set forth in full. The materials on this site are provided solely for your personal, non-commercial use. Certain services on this site are available only to registered customers of HH JapaNeeds.

By choosing to purchase a subscription or register for a trial with HH JapaNeeds, you agree to be bound by the terms and conditions set forth in Section 10 of HH JapaNeeds’ Billing Policy below.

5. Use of the Service

The right to access and use HH JapaNeeds.com and the Services is personal to you and may not be transferred by you to any other person or entity. You may access and use HH JapaNeeds only for lawful purposes.

You are responsible for maintaining the confidentiality of your HH JapaNeeds account (“Account”), user name and password. You agree to notify HH JapaNeeds of any unauthorized use of your HH JapaNeeds account. In addition, in order for the Service to function effectively, you must keep your registration information current and accurate. Failure to do so will affect the accuracy and effectiveness of the Services to you.

In our sole and absolute discretion, we may terminate your account or modify, regenerate, or delete the username associated with your account for any reason (including reasons related to illegal or unauthorized use), and we are under no obligation to retain any record of your account or any data or information stored by you using your account and/or the Services.

Your access to and use of HH JapaNeeds.com may be interrupted at any time for any number of reasons, including, but not limited to, equipment failure, periodic updates, maintenance or repair of HH JapaNeeds.com, or other actions taken by HH JapaNeeds in its sole discretion. HH JapaNeeds shall not be liable for any loss resulting from your use of HH JapaNeeds website and e-learning services, software, materials, audio or video files, content, or communications. You agree that HH JapaNeeds is not responsible for any loss resulting from your use of the HH JapaNeeds website and e-learning services, software, materials, audio or video files, content or communications.

6. Intellectual Property Rights

All materials on HH JapaNeeds (including content, text, images, software, audio and video files, documentation, email/English, and this Site) are and will always remain the sole property of HH JapaNeeds or its suppliers. You may not post, distribute, sublicense, translate or reproduce in any way any copyrighted material, trademarks or other proprietary information without the prior written consent of HH JapaNeeds. You may not.

7. Access and Interference

You agree that you will not:

Use any robot, spider, scraper, deep link or other similar automated data gathering or extraction tools, program, algorithm or methodology to access, acquire, copy or monitor HH JapaNeeds.com or any portion of HH JapaNeeds.com, without HH JapaNeeds’s express written consent, which may be withheld in HH JapaNeeds’s sole discretion;
Use or attempt to use any engine, software, tool, agent, or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search HH JapaNeeds.com, other than the search engines and search agents available through the Service and other than generally available third-party web browsers (such as Microsoft Explorer);
Post or transmit any file which contains viruses, worms, Trojan horses or any other contaminating or destructive features, or that otherwise interfere with the proper working of HH JapaNeeds.com or the Service;
Attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprising or in any way making up a part of HH JapaNeeds.com or the Service. Please be aware that your carrier’s normal rates and fees, such as text messaging fees, will apply when accessing HH JapaNeeds.com with your portable devices.

8. Privacy and Security Policy

Your use of the Site and any personal or other information collected by HH JapaNeeds.com through or in connection with the Site (other than User Generated Content) is subject to our Privacy and Security Policy.

As indicated in the Terms of Use, our site is not designed to attract children under the age of 13. We do not knowingly collect personally identifiable information from anyone under the age of 13 unless we obtain permission from a parent or legal guardian.

9. Community forums, chats, message boards, and email conduct

HH JapaNeeds aims to create a global community of language learners. To that end, HH JapaNeeds provides users with the ability to post messages, use chat rooms, and search for learning resources such as local language schools and job postings. Users are solely responsible for the content of these messages as set forth in this Agreement. In addition, by using these services, you agree not to publish, post, or otherwise post any material that

Contains content that is not original or for which you have not received the prior express written consent of the originator of said material.
Contains objectionable language or is in any way profane, pornographic, sexually explicit, slanderous or libelous.
Attempts to contact a fellow user of HH JapaNeeds without explicit solicitation by that user.
Violates any viable rules, laws or regulations, or infringes on any rights of any third party.
Contains viruses or any other code designed to interrupt, destroy or incapacitate the functionality of any software, hardware or telecommunications.
Is considered “spamming,” such as chain letters, junk mail, or other solicitations.
Attempts to impersonate another person or breach the security of HH JapaNeeds and its users.
The opinions and messages posted by users at HH JapaNeeds do not reflect and are not representative of the views of HH JapaNeeds or its employees, affiliates, suppliers or partners. HH JapaNeeds is not responsible for the content of messages sent by users to other users they have located through HH JapaNeeds website and e-learnings.

10. Fees and payments

In order to access certain features of the Site and Services, you must register with HH JapaNeeds and create an account (“Account”). Any information collected through the registration process and associated with your Account is subject to these Terms and our Privacy and Security Policy. You represent and warrant that you will not create an account for anyone other than yourself without permission, that all information provided by you in creating an account is true, accurate, and complete, and that you will maintain true, accurate, and complete information relating to your account at all times. You represent and warrant that you will maintain at all times true, accurate and complete information relating to your account.

Certain materials and features of the Site are available only through the purchase of an online language class package (“Package”). Subject to this Agreement, you are responsible for all fees associated with your connection to the Site, and HH JapaNeeds reserves the right to change the “Package” fees in effect or establish new fees at any time upon reasonable notice posted on the Site and communicated to current customers via email.

Billing Policies

HH JapaNeeds prices do not include any applicable VAT or taxes, interest or installment fees charged by credit card companies, or any other fees associated with internet access.

Language courses include teacher-led instruction. Group and private classes are offered on a “class credit basis”, which gives you access to a specified amount of group and private classes offered in your language course. The most up-to-date prices for language courses can be found in the email sent by the office.

All language courses are charged on a recurring basis and are non-refundable after purchase. If you do not cancel your language course before the end of the specified course period, you agree that your language course will be automatically extended for the same period and under the same conditions. If you do not wish to continue with the course, you must deactivate your payment account or inform us in writing (by e-mail).

An exception to the previous paragraph is the 7-day money-back guarantee, if it is explicitly stated on the checkout page. Within 7 days of your first month’s purchase, you have the right to cancel your language course and receive a full refund by requesting to use this 7-day money-back guarantee in writing (via email). This 7-day money-back guarantee does not apply to trial packages or subsequent subscriptions.

In addition to the classes included in your language course, you may purchase additional classes. These classes entitle you to more classes with more teachers.

Free trial packages are available only to first-time users.

Credit card payments

After the initial registration, your contract may be terminated if your credit card expires, is cancelled, lost, or becomes invalid. In such cases, we will contact you and give you the opportunity to change your registration data. If your credit card is not successfully re-billed and not successfully renewed, your subscription will be terminated.

11. Indemnification

You agree to indemnify, defend, and hold harmless HH JapaNeeds and its affiliates, partners, suppliers, and employees from and against any and all liabilities, claims, expenses, or damages arising out of your use of the Site or your violation of this Agreement and the terms set forth herein.

12. Miscellaneous

If any part of this Agreement is held to be illegal, invalid or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole shall not be held to be illegal, invalid or unenforceable, and only the part held to be illegal, invalid or unenforceable shall be stricken from this Agreement.

You agree that if HH Japanies does not exercise any legal right or remedy contained in this Agreement (or in which HH Japanies has the benefit under applicable law), this will not be deemed a formal waiver of HH Japanies’ rights and those rights or remedies will continue to be available to HH Japanies.

All covenants, agreements, representations and warranties made in this Agreement shall survive your acceptance of this Agreement and any termination of this Agreement.

This Agreement represents the entire understanding and agreement between you and HH JapaNeeds with respect to the subject matter hereof, and supersedes all other prior agreements.
